BUYING A BUSINESS IN SPAIN

     TYPES OF BUSINESS TRANSFER

     There are various different ways of purchasing a business in Spain.

     FREEHOLD

     The Freehold option is the same as the UK, whereby the purchaser buys the property outright.

     LEASEHOLD (Traspaso)

     This type of contract is usually valid for an indefinate period. It normally consists of a rental contract and the owner of the traspaso has the right to sell it on to a third party. The purchase price includes the goodwill and all fixtures and fittings within the unit.

     STRAIGHT FORWARD RENTAL CONTRACT

     This normally occurs with a empty local that can be converted into whatever type of business you require. This is more often found in a new area where the owner has brought a commercial shell ie. local, for investment reasons. In some cases the walls, the floors, the electrics and toilet facilities are still to be constructed within at the cost of the renter. It is possible to find empty locals of this type where the above work has already been done by the freehold owner where either the rent would be higher or a 6 month rental security deposit is held via the owner.

FUNDING YOUR BUSINESS

     To begin with you need to decide how much money you would like to invest. You will need money to spare to pay for legal fees and opening licences.

     Once you have decided on the right business, a 10% deposit is paid for a leasehold contract and a 5% deposit for freehold. This is normally held until completion date and is non-returnable. Please bear in mind that English cheques can take a long time to clear, as they are not automatically recognised in Spain.
